Bonitz Advisory is proud to have been the lead sell-side advisor to NEC Australia Pty Ltd (NEC Australia) on the divestment of its Perth-based Enterprise Resource Planning (ERP) business to Scope Systems Pty Ltd (Scope Systems).

Transaction Overview

The acquisition of NEC Australia’s ERP business by Scope Systems marks a significant expansion of Scope System’s ERP capabilities. The merged businesses will result in Scope Systems nearly doubling its existing number of clients and expanding its core services to the mining to manufacturing, logistics, wholesale and retail sectors.

A key challenge of the transaction was to account for any purchase-price adjustments due to customer churn post-completion. Working closely with both parties we designed a simple and effective transition mechanism to ensure that the value of transferring customers was appropriately recognised for a period of time post-completion.
